Terms of Service

01Service Description

Sitenivar Inc. (a corporation organized under the laws of the State of Delaware, USA; hereinafter "Sitenivar", "we", "us" or the "Company") provides website design, development, and hosting services for small and medium-sized businesses. The service is offered in three packages: Esnaf, Standart, and Premium. Current prices are published on our pricing page.

The delivery time begins on the date Sitenivar receives complete content from the Customer (text, photos, brand assets) and required approvals.

02Acceptance of Terms

Any natural or legal person (hereinafter the "User" or "Customer") who purchases, begins using, or pays for any Sitenivar package is deemed to have fully and irrevocably accepted these Terms of Service.

• Minors (under the age of 18) may not purchase or use the service.
• A person acting on behalf of a legal entity must have authority to bind that entity.
• Users who do not accept these Terms must not use the service.

03Account & Access

Sitenivar will introduce a customer portal (admin dashboard, content editor, billing history) in a future phase. Until the portal is live, all management requests are handled via email.

• When credentials are issued, the confidentiality of the username and password is the sole responsibility of the User.
• All activity performed under the User's credentials shall be deemed performed by the User.
• The User must immediately notify [email protected] of any suspected unauthorized access.

04Payment Terms

All payments are processed through Stripe, a PCI-DSS Level 1 compliant payment platform. Sitenivar does not store, view, or process card details.

• Esnaf: ₺4,986 — one-time payment
• Standart: ₺7,996 — one-time payment
• Premium: ₺14,996 — one-time payment

All packages include 1 year of hosting (Frankfurt edge + Cloudflare CDN), SSL certificate, and standard maintenance.

Currency

• Customers based in Turkey are billed in TRY (Turkish Lira).
• International customers are billed in USD (US Dollar); the amount is displayed at the applicable exchange rate.

Annual renewal

At the end of the 1-year hosting + maintenance period, renewal is not automatic. Sitenivar sends a renewal offer by email at least 30 days before the renewal date; renewal takes effect only upon the Customer's active confirmation (email reply or clicking the payment link).

05Refund & Cancellation Policy

Refund requests must be sent in writing to [email protected]. Once approved, the refund is processed to the original payment method within 14 business days.

For cancellations after the 30-day window, a pro-rata refund applies to any unused hosting period; design and development fees are non-refundable.

06Intellectual Property

Site ownership

Upon delivery, all intellectual property rights in the site content (HTML/CSS/JS code, customer-specific copy, customer-specific imagery, and the design composition) transfer to the Customer. The Customer has the right to migrate the site to a different provider; in that event, source files are delivered as a ZIP archive.

Stock imagery

Stock photographs used in the site (Unsplash, Pexels, Pixabay, etc.) are subject to the licensing terms of their respective platforms. These licenses permit use of the images on the website but do not grant the Customer the right to resell or independently redistribute the images.

Sitenivar brand

The "Sitenivar" name, logo, tagline, and visual identity are registered trademarks of Sitenivar Inc. and may not be copied, derived, or used for commercial purposes without prior written consent.

07Customer Responsibilities

• Accurate, up-to-date information: The Customer is responsible for the accuracy of contact information, prices, service descriptions, and other information published on the site.
• Lawful content: No content that infringes copyright, constitutes misleading or deceptive advertising, or violates personality rights may be published.
• Data protection compliance: If personal data is collected via forms or cookies, the Customer, acting as Data Controller, is responsible for compliance with applicable data protection laws (KVKK for Turkey, GDPR for EU, CCPA for California). Sitenivar provides template notices; implementation rests with the Customer.
• Sector-specific regulation: Compliance with industry-specific regulations (healthcare advertising, finance, food, etc.) is the Customer's responsibility.

08Sitenivar Responsibilities

• Timely delivery: Delivery within the package SLA (7/10/14 business days). If a delay is caused by Sitenivar, an automatic refund of 2% of the package fee per business day of delay applies (capped at 20%).
• 99.5% uptime guarantee: For annual uptime below 99.5%, a pro-rata hosting credit is issued. Infrastructure: Cloudflare anycast (Frankfurt edge) + Coolify orchestration + nginx:alpine.
• Security: Regular SSL renewal (Let's Encrypt, 90-day auto-renew), nginx and server patches, Cloudflare DDoS protection layer.
• Backups: Weekly automated backups; ZIP delivery on request.

09Limitation of Liability

To the maximum extent permitted by applicable law:

• Sitenivar shall not be liable for any indirect, incidental, special, or consequential damages (loss of revenue, loss of data, damage to goodwill, opportunity cost, etc.).
• Sitenivar's total aggregate liability under this agreement shall in no event exceed the total amount actually paid by the Customer in the preceding 12 months.
• Force majeure events (earthquake, flood, war, act of terror, pandemic, country-wide internet outage, upstream infrastructure provider outage, statutory prohibitions and restrictions) fall outside Sitenivar's scope of liability.

10Termination

• By the Customer: The Customer may cancel the service at any time without cause. For cancellations outside the 30-day unconditional refund window, see section 05.
• By Sitenivar: Sitenivar may terminate the service in case of unlawful content, breach of payment obligations, or material breach of these Terms, following written notice and a failure to cure.
• Data handover: Upon termination, site content (HTML/CSS/JS source files + media + database backup) is delivered to the requesting Customer within 30 days as a ZIP archive.

11Dispute Resolution

Governing law

These Terms of Service shall be interpreted and enforced in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.

Binding arbitration

Any dispute, claim or controversy arising out of or relating to these Terms or the service shall be finally resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its applicable rules, with the seat of arbitration in Wilmington, Delaware, USA. The proceedings shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Consumer rights — Turkey

For Customers domiciled in the Republic of Turkey who qualify as "consumers" under Law No. 6502 on the Protection of Consumers, mandatory Turkish consumer protection provisions, including the jurisdiction of Consumer Arbitration Committees and Consumer Courts, apply and shall prevail over this clause to the extent required by law.

Class action waiver

To the extent permitted by law, the parties waive any right to bring or participate in any class, collective, or representative action arising out of or relating to these Terms.

12Changes to These Terms

Sitenivar may update these Terms of Service from time to time. Material changes will be notified to the Customer's registered email address at least 30 days before they take effect. Continued use of the service after such notice constitutes acceptance of the updated Terms.

Prior versions are available upon request. Each version carries a version number and an effective date.
